Terms of Service

These Terms of Service (“Terms”) govern your access to and use of SideKick, by Forma Consulting, LLC (doing business as Forma, “we,” “us”), a marketing and productivity tool for small businesses and the people who run them. By creating an account or using SideKick, you agree to these Terms. If you are using SideKick on behalf of a business or organization, you agree to these Terms on its behalf and confirm you have authority to do so.

1. What SideKick is

SideKick helps you draft social and marketing content, plan your day around your calendar and meetings, and turn your production data into reports. It is a productivity and drafting tool. It does not provide legal, compliance, tax, financial, or other professional advice, and nothing it generates is a recommendation you should publish or act on without your own review.

2. Your compliance responsibility

You are solely responsible for reviewing and approving everything SideKick drafts before you publish, send, or use it — the same principle SideKick’s own Academy teaches: a human reviews everything before it goes out. AI-generated drafts can be confidently wrong, can miss legal, regulatory, or platform requirements, and can be out of date. You are responsible for making sure any content you publish is accurate, compliant with applicable law and any rules your industry or the platforms you post to require, and appropriate for your audience. SideKick is a starting point, not a compliance sign-off.

3. Client data and Privacy Guard

SideKick’s Privacy Guard masks sensitive info on your device before a topic is sent for generation, and our servers re-screen every request. This is a safeguard, not a guarantee: you agree not to deliberately enter your clients’ personal, health, or financial information into SideKick beyond what a task genuinely requires, and to describe situations without identifying real individuals. How we handle data is described in our Privacy Policy, which is part of these Terms.

4. Accounts and eligibility

  • You must be at least 18 years old and able to form a binding contract.
  • You are responsible for your account credentials and for all activity under your account. Tell us promptly if you suspect unauthorized use.
  • You agree to provide accurate account information and to keep it current.

5. Subscriptions, sessions, and billing

  • Subscriptions. Paid plans are billed monthly in advance through our payment processor, Stripe. Your plan renews automatically each period until you cancel.
  • Cancellation. You can cancel at any time; cancellation takes effect at the end of the current billing period, and you keep access until then. We do not provide prorated refunds for partial periods except where required by law.
  • Expert sessions. One-time expert sessions are charged as a single payment at the time of booking. If a session cannot be delivered, we will reschedule it or refund it.
  • Usage limits. Plans include generation credits and usage limits described at signup; these may be metered, and features may depend on your plan tier.
  • Price changes. We may change prices; we will give reasonable notice, and changes apply to your next billing period, never retroactively.

6. Acceptable use

You agree not to use SideKick to:

  • Break the law, or violate any platform’s terms or the rules that apply to your business.
  • Generate or publish false, deceptive, or misleading marketing.
  • Upload malware, attempt to breach security, or access another organization’s data.
  • Reverse-engineer, resell, or scrape the service, or use it to build a competing product.
  • Misuse the AI features to generate unlawful, harassing, or infringing content.

7. Your content and ownership

You keep ownership of the topics and inputs you provide and the content SideKick generates for you. You grant us the limited license needed to operate the service for you — to process your inputs, generate outputs, publish to a connected account when you click Publish, and store your history. We do not sell your content, and we do not claim ownership of it.

8. Connected accounts and third-party services

SideKick works with third-party services you choose to connect, including Meta (Instagram/Facebook), Google, Canva, Granola, Fathom, Fireflies, and our providers Stripe, Supabase, and Google Gemini. Your use of those services is governed by their own terms, and we are not responsible for their availability or actions. Connecting and disconnecting an account is your choice, and disconnecting deletes the stored access token immediately, as described in the Privacy Policy.

9. Service availability and changes

SideKick is offered on an ongoing basis but may change. We may add, modify, or discontinue features, and we may perform maintenance that temporarily affects availability. We aim to give notice of material changes where practical.

10. Disclaimers

SideKick is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted or error-free, or that any AI-generated content will be accurate, complete, or compliant. You use SideKick at your own discretion and risk.

11. Limitation of liability

To the fullest extent permitted by law, Forma will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising from your use of SideKick. Our total liability for any claim relating to the service is limited to the amount you paid us for the service in the twelve months before the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold Forma harmless from claims, losses, and expenses arising from content you publish, your violation of these Terms or applicable law, or your misuse of the service.

13. Termination

You may stop using SideKick and delete your account at any time. We may suspend or terminate access if you materially breach these Terms or use the service in a way that creates risk or legal exposure. On termination, your right to use the service ends; sections that by their nature should survive (ownership, disclaimers, liability limits, indemnification) will survive.

14. Governing law

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction of the state and federal courts located in Miami-Dade County, Florida for any dispute.

15. Changes to these Terms

If we change these Terms in a meaningful way, we will update the effective date above and, where appropriate, notify you. Continuing to use SideKick after a change means you accept the updated Terms.
